About Diritto Advisory

Diritto Advisory was founded in 2023 by Ilze Watt.

Ilze holds a LLB as well as an LLM (cum laude), both from the University of Stellenbosch, and is an admitted attorney and notary public of the High Court of South Africa.

Ilze has more than 10 years’ experience specialising in corporate and commercial law, including advising on mergers and acquisitions, legislation and regulatory matters (including the Companies Act, 2008 and the Takeover Regulations), as well as drafting and negotiating various agreements. She is also experienced in advising on company formation, corporate governance and the JSE listings requirements.

Ilze has acted for private and public companies (including listed companies) across a range of sectors and in both local and cross-border transactions. She is experienced in various aspects of the transactional process, including conducting and managing legal due diligence investigations, drafting and negotiating agreements, advising on and preparing regulatory submissions, and managing the closing and implementation of transactions.

Ilze has drafted and negotiated a wide range of transactional and non-transactional agreements, including sale of shares agreements, sale of business agreements, subscription and repurchase agreements, shareholders’ agreements, services agreements and supply agreements. She has experience in transactional and day-to-day company secretarial matters, including the drafting of board and shareholder resolutions and minutes of meetings, and is also experienced in drafting circulars and pre-listing statements.
